CIM Analysis: Perform initial analysis and review of all incoming Confidential Information Memoranda to identify obvious gaps or conflicting data. Analyze Seller's perception of company value and use solid analytical tools to validate or counter. Identify Red Flags to follow up at Negotiation or Due Diligence.
Broker & Seller Interrogation: Actively interrogate brokers and sellers to obtain deeper information as opportunities are examined. Prosecute broker's presentation, looking for "enhancements" or areas where the price could be inflated such as inventory manipulation, recent layoffs of staff, etc.
Pricing Strategy: Set and refine target pricing offers (buy-side) based on information gathered during the due diligence lifecycle. (Sell-Side) Counter low buyer offers and provide evidence that supports the counter.
Letter of Intent (LOI) Oversight: Review all LOIs for appropriateness and completeness prior to issuance to ensure deal certainty.
